Dr. Ramesh Balakrishnan
Chief Executive Officer
Dr. Ramesh Balakrishnan is an accomplished executive and serial technology entrepreneur. Prior to becoming CEO of UpHealth, he was the founder and CEO of Thrasys, Inc., the integrated care business of UpHealth that provides a cloud-based platform for interoperability, analytics, population health management, care coordination and collaboration. Balakrishnan has founded technology companies, introduced market leading products across global markets and successfully exited ventures. As Vice President at Asyst Technologies and Director of Application Products at Measurex Corporation, Balakrishnan introduced innovative solutions for process automation and manufacturing. He received his undergraduate degree from the University of Madras, a graduate degree from Stanford University, a doctorate degree from Stanford University and holds 14 domestic and international patents.
Chief Financial & Administrative Officer
Martin Beck has extensive financial management experience. Prior to joining UpHealth Mr. Beck was a managing director and co-founder of MAT Capital, LLC. He spent a significant portion of his career as an investment banker and investor in the healthcare and industrials sectors, including with J.P. Morgan where he specialized in M&A and at Macquarie Capital where he focused on M&A and principal transactions. He also served as Managing Director of Weichai Power Co. where he led International corporate development. He holds a BA from Princeton University, a JD degree from Northwestern University and an MBA from New York University Stern School of Business.
Chief Revenue Officer
Mike Rolla brings over 20 years of experience leading digital health and medical technology sales, across managed care, health systems, and providers with a consistent track record of success in building teams and accelerating revenue growth. Prior to joining UpHealth, he served as Senior Vice President of Commercial Sales at Teladoc Health (by way of Livongo) and Becton Dickinson (by way of C.R. Bard), performing in multiple leadership roles, including Director of U.S. Sales & Clinical Operations. He holds a bachelor’s degree from Penn State University and a master’s in business administration from Emory University, with an MBA concentration in Business of Healthcare.
Chief Product and Marketing Officer
Before joining UpHealth, Nashina Asaria was a board member and Chief Product Officer for Cloudbreak Health LLC. Asaria was the Chief Commercial Officer for LifeQ, a data science/computational systems biology company that served technology, insurance, health and pharma industries. There, she led commercial strategy, including partnerships with top tech companies, reinsurers, a global wellness services provider, a global life and health insurance company and a mobile device company. Asaria was also a senior staff member at Nantworks, Inc.
She holds a BSc degree from the London School of Economics, lives in Portugal and California and was born and raised in Nairobi, Kenya.
Edna Boone Johnson
Chief Communications & Corporate Marketing Officer
Edna Boone Johnson is an award-winning leader in communication and marketing. Her portfolio of experience and expertise spans all facets of communication, marketing, government affairs and corporate social responsibility, with previous employers that include Michelin, Burger King and the CNN News Group.
Prior to joining UpHealth, Johnson served at Michelin North America for more than a decade. There, she was responsible for communication, brand, consumer marketing, government affairs and corporate social responsibility. While at Michelin, she oversaw the most awarded communications campaign in the country two years in a row and was short-listed for a Cannes Lions award.
For her work at Burger King Corporation, she was cited by PRWeek magazine as one of the “top 10 staff moves that changed the landscape.”
Johnson began her career as a journalist. She received several awards for her reporting, including Associated Press awards. She became a professor of journalism at Auburn University where she was named as an outstanding faculty member. During this time, Johnson also ran a communications consultancy whose clients included a number of Fortune 500 companies.
She holds a bachelor’s degree with highest honors from Auburn University. She earned a master’s from the University of Alabama at Huntsville.
Chief Legal Officer
Ranjani Ramakrishna is an attorney and executive with deep expertise collaborating with senior leadership teams on executive, operational and strategic functions. Prior to joining UpHealth, Ramakrishna was a member of the board of directors and was the General Counsel for Thrasys, Inc., the integrated care business for UpHealth, where she helped with acquisitions, strategic alliances and large contracts. She began her legal career in India, then worked as a litigator, managing over 100 cases, including large class actions, with successful results at tier-1 firms in New York and the San Francisco Bay Area. Ramakrishna has an LLM degree from Harvard Law School, where she was an InLaks scholar. She is admitted to practice law in India, New York, and California.
Chief People Officer
Darren DeRosa brings a proven track record of cross-functional human resources successes spanning more than 30 years. His extensive background encompasses global human resources, business/technology operations and optimization for Fortune 500 companies across healthcare, pharmaceutical, banking/financial services, insurance and higher education industries. Prior to joining UpHealth, DeRosa served as the senior vice president of Business Optimization and People at Amplity Health. He holds a bachelor's degree from Temple University in human resources and a master's degree from the University of Pennsylvania in organization dynamics and administration.
Chief Accounting Officer
Jay Jennings, CPA, is a seasoned accounting executive, who served as an Audit Manager at Ernst & Young and Corporate Controller for publicly-traded MetaCreations Corporation and, for more than 17 years, served as the Principal Accounting Officer for publicly-traded eHealth, Inc., a leading health insurance marketplace with a technology and service platform. In his role at eHealth, Mr. Jennings built a global finance team from five to 100 employees. He was responsible for accounting operations, revenue operations, SEC reporting, technical accounting, financial planning and analysis, business analytics, income taxes, treasury and corporate insurance/risk management programs. Mr. Jennings also managed system implementations focused on driving automation, improved analytics and cost-savings.
Jeffery R. Bray
Chief Legislative Affairs Officer
Jeffery Bray actively works to protect patient and prescriber access to compounded medication and previously served as CEO of MedQuest Pharmacy. He regularly collaborates with many public affairs teams on legislative outreach and has served on PCCA’s Advisory Council from 2018 to 2019. He is an active member of the National Community Pharmacists Association (NCPA) and a member of NCPA’s Compounding Steering Committee. As a member of the Alliance for Pharmacy Compounding (APC), Bray is a former APC board member and currently serves on the organization’s Infrastructure Review, COMP PAC and Legislative and Regulatory Committees. He earned his MBAe from the University of Utah, a master’s in education from the University of Phoenix in 2003 and a bachelor’s degree from the University of Arizona in 2001. As a lifelong learner, he is also a Pharmacy Regulatory Specialist, Certified in Healthcare Compliance and is a Board Governance and Board Leadership Fellow with the National Association of Corporate Directors (NACD). In 2020 he was awarded the APC Advocacy Champion Award in recognition of his advocacy on behalf of America’s pharmacy compounders and the patients they serve. In 2021, he was honored as the first

Andy Panos’ leadership of the Martti, UpHealth’s full-service telehealth platform, and his creative sales initiatives have fueled the rapid growth of Martti into more than 2,000+ healthcare facilities. Panos created Martti and its predecessor organization more than 18 years ago. Panos’ experience in operations, business development and national marketing strategy stems from serving as partner/owner of a creative marketing firm. Andy earned a bachelor’s degree from Montana State University.

Chona comes to UpHealth with over 20 years of experience in IoT, Big Data Analytics, Artificial Intelligence/Machine Learning (AI/ML) and Cloud-based middleware and application software. He has previously held several leadership positions, including corporate management, business development & strategy, marketing, consulting and integration services for leading high-tech companies and Silicon Valley startups. Prior to joining UpHealth, he was an entrepreneur, co-founding several technology companies with successful exits. Most notably, he served as the CEO and co-founder of InSync Software, a company focused on asset tracking and monitoring that enabled the digital transformation of supply chain, manufacturing, and asset management operations.

From software engineering to operational optimizations, Richa keeps a keen eye on the HelloLyf expenditures, ensuring economy and efficiency. She brings deep experience and strong intuitive sensibility that helps scale the business. Richa studied at the Prestige Institute of Management and Research.
President of Behavioral Health
Lisa brings 20 plus years of experience in sales, marketing and executive management. She was educated in Johannesburg, South Africa and attended UNISA towards a degree in Psychology. In early 2015, after immigrating to the U.S., Lisa started a role as a Sales and Marketing Director with OnetoOne Physical Therapy and Aquatics group. She mentored and trained the sales team, and personally started and grew its marketing division. Her efforts not only increased the turnover of the company, but they also boosted the number of incoming patients. Lisa then joined Transformations Drug and Alcohol Treatment Center in 2016 as Executive Director where she was responsible for overseeing the client services divisions and developing strategies to increase revenue, services, systems and improved data collection and analysis. Lisa’s efforts and achievements at Transformations were recognized and she was promoted to her current role of President, after serving as Chief Marketing Officer and COO. Married with two children, Lisa enjoys spending time reading and learning whenever she gets the chance. She loves spending time with her family and French Bulldog puppy.
Dr. Azfar Malik
EVP Provider Networks
Dr. Malik oversees the Behavioral Health division of UpHealth and is the Founder and CEO of Sunshine Residential Facilities. Dr. Malik is President & CMO of CenterPointe Behavioral Health System and previously served as CEO of Signature Psychiatric Hospital in Kansas City and Founder and CEO of Psych Care Consultants, LLC, a premier psychiatric group practice . Dr. Malik currently serves as an Associate Clinical Professor in the Psychiatry Department at St. Louis University Health Science Center.
Michael has developed internet applications since 1995 and co-founded Digital Primates in 2021. Michael helped grow Digital Primates to a shop that created digital experiences for world-acclaimed sporting and entertainment events and delivered enterprise platforms for companies such as Siemens. Michael has led open-source development teams, authored five books, and speaks internationally about technology and innovation. In his free time he escapes tech through food and wine. Michael speaks English, Spanish, Italian, and pretends to speak more Japanese than he actually knows.

Sarah Arnquist brings deep experience with innovative care models to deliver integrated behavioral health care and address the needs of individuals with complex conditions. She has a successful track record of developing, launching and delivering programs at scale. Arnquist worked at Beacon Health Options for eight years, where as Vice President of Client Partnerships West she oversaw 25 accounts across three states. She also worked as a health policy consultant and as a value-based health care services researcher at Harvard's School of Public Health. She holds bachelor's degrees in journalism and Spanish, as well as a master’s in public health from Johns Hopkins Bloomberg School of Public Health with a focus on policy and economics.
SVP Sovereign Nations Solutions
David is dynamic and a versatile American Indian leader working with American Indian Governments and Native American Corporations focusing on Health, Education, Economic Development and the Gaming industries. With 22 years of collective tribal experience in private sector business development, governance and education, David has the skills and experience to generate exciting developments and can impact and grow organizations with unique partnerships that increase shareholder trust. David also serves as the tribal Administrator for the Mashpee Wampanoag Tribe in Cape Cod, MA. David recently served as the vice chairman of Twelve Clans, inc., federally chartered corporation, as well as Executive Director of Business managing Class 3 Casinos, one Class 2 casino, and two ancillary sites. Prior, Greendeer also served as Legislator, an elected official representing 11 counties and over 2,000 constituents, for the sovereign Ho-Chunk Nation of Wisconsin.
Dr. Avi Katz

Dr. Avi Katz, GigCapital’s Founder, Chairman and CEO, has spent more than 30 years holding international managerial and executive positions in the high-technology sector. He is a serial entrepreneur and angel investor with decades of experience working for companies of every size, from start-ups to global enterprises. Throughout his career, Katz has facilitated leadership team building, large-scale fundraising, initial and secondary public offering, the development of alliances and tech partnerships, mergers and acquisitions and almost every other facet of business and financial operations.
In addition to his work at GigCapital, Katz is also the Founding Managing Member of GigAcquistions, LLC; GigFounders, LLC; and GigNext, LLC. Previously, he bootstrapped in 2007 GigOptix / GigPeak. Inc., took the company public in 2008 (NYSE: GIG) and led its growth as Chairman, CEO and President through organic and strategic growth through rollup of 10 M&A deals during that time. He sold the company in April 2017 for $250 million all-cash to Integrated Device Technology (NASDAQ: IDT).
Katz is a graduate of the Israeli Naval Academy and holds both a bachelor of science degree, and a Ph.D. in Semiconductors Materials Engineering from the Technion, the Israeli Institute of Technology. He has authored more than 70 U.S. and international patents, has published more than 300 technical papers and is the editor of a number of technical books.
Dr. Chirinjeev Kathuria

Dr. Chirinjeev Kathuria is an Indian-American investor, businessperson and philanthropist. Dr. Kathuria co-founded several leading companies in the medical field that include American Teleradiology NightHawks, Inc., Ocean Biomedical and UpHealth. American Teleradiology NightHawks, Inc. merged with NightHawk Radiology Holdings, Inc., and the combined company went public on NASDAQ. Kathuria also co-founded Ocean Biomedical, which recently announced a malaria vaccine discovery. Kathuria ran for U.S. Senate in Illinois, becoming the first Indian-American to run for the US Senate. He received a bachelor’s degree and a medical degree from Brown University and an MBA from Stanford University.
Member, Board of Directors, Audit Committee Chair
Neil Miotto spent 27 years as an assurance partner at KPMG, LLP before his retirement in September 2006. While at KPMG, he advised clients on numerous acquisitions and sales of assets, helping to facilitate these transactions, as well as consulting on debt offerings and IPOs. In his role as assurance partner, Miotto focused on serving large public companies, primarily semiconductor companies, and contract manufacturers.
Miotto also served as an SEC reviewing partner while at KPMG. Since his retirement, Miotto has provided high-level financial consulting services to companies in need of timely accounting assistance and is serving on public company boards. He is deemed a “financial expert” as defined by SEC and NYSE rules.
He served on the board of directors of Micrel, Inc. from 2007 to 2015 and was also a member of the board of GigPeak, Inc. from 2008 until its sale in April 2017. Miotto is a member of the American Institute of Certified Public Accountants. He holds a bachelor’s degree in business administration from Baruch College, part of The City University of New York (CUNY).
Dr. Raluca Dinu

Dr. Raluca Dinu is a visionary and global business executive, offering 20 years of achievements in the high-tech industry (semiconductors, electronics, media, cloud data management, and information technology), with an established track record of driving increased revenue and profitability, building and leading cross-functional teams, delivering strong results in turnaround situations and leading strategic growth and consolidation in fast-paced business environments.
Dinu held a General Manager / Vice President position at Integrated Device Technology, Inc. (NASDAQ: IDTI), which was acquired by Renesas Electronics Corp (TSE 6723:JP) for $6.7B. She drove the transfer and integration of the team from GigPeak, Inc. (NYSE GIG) into IDT, post-acquisition of GigPeak by IDT in April 2017. Prior to this, she was Chief Operations Officer of GigPeak, leading 10 M&As prior to the acquisition by IDT.
Dinu is chair of the compliance committee as part of the board of directors of UpHealth, Inc., a digital healthcare company (NYSE: UPH), and she is also a member of the audit and compensation committees. Additionally, she is part of the Audit Committee of the Board of Directors of BigBear.ai (NYSE: BBAI), a company that operationalizes artificial intelligence and machine learning at scale through its end-to-end data analytics platform. She holds a bachelor’s degree. in physics and a Ph.D. in solid state condensed matter physics from the University of Bucharest and an Executive MBA from Stanford University. She has an audit committee certificate and compensation committee certificate from Harvard Business School, Executive Education Program.

Agnès Rey-Giraud is chairman and CEO of Acera Surgical, Inc., which she co-founded in 2013. Acera Surgical has engineered a new class of resorbable synthetic hybrid-scale fiber matrices designed to restore damaged tissue. The proven healing power of Acera’s surgical matrices provide relief to patients who suffer from surgical wounds, trauma, burns, and chronic wounds, among other indications. Rey-Giraud played an essential role in devising Acera’s initial strategy, recruiting the company’s first leadership team and securing the financial backing to bring revolutionary concepts from the lab to the operating room.
She was previously an officer at Express Scripts (NASDAQ : ESRX), a Fortune 100 company, where she served in multiple executive roles of increasing responsibility, including executive vice president of product development, supply chain, corporate strategy and president of international operations.
Rey-Giraud currently serves as a member of board of directors at UpHealth and chairs the compensation committee chair. She also serves on the board of GoodRx (NASDAQ : GDRX), a role she has held since 2016. She has served on numerous boards of directors, including RxHub (now SureScripts), a healthcare technology services company, from its design and creation in 2000 to 2006. During this period, RxHub transformed from a business plan to a service and technology platform, facilitating the creation of communication standards and the adoption of electronic prescribing in the US that are now the common standard in the country.
Her other board roles have included Pritikin, a wellness company, and HD Smith, a privately owned drug wholesale distributor.
Rey-Giraud is a cancer survivor who credits a clinical trial with her life-saving treatment. She has since become an advocate for breast cancer awareness and affordable health care, especially for patients diagnosed with debilitating or terminal illness.
She holds an MBA from the University of Chicago, a master of management in operations from Ecole de Management de Lyon Business School, one of France’s leading universities, and a master’s degree in engineering, also earned in France. She has earned certifications in board service from Northwestern University and Harvard University.
She and her wife live in Colorado where they enjoy hiking, biking and the magnificence of wildlife and the outdoors.

Jerome Ringo is an internationally recognized thought leader on climate change issues and has led two of the largest environmental organizations in the world, the 5million-member National Wildlife Federation and the Apollo Alliance, a 19-million-member organization which was the largest coalition on green jobs in history. Ringo is committed to protecting the Earth’s natural resources and improving the quality of life for generations to come. This means better health and greater opportunities for education, economic growth and prosperity.
Since November 2020, Ringo has served as Founder and Chairman of Zoetic Global, a leader in impactful solutions targeting energy, water, food security and healthcare. Zoetic is the culmination of Ringo’s dedication to promote sustainable development through the use of clean technology solutions.
Since July 2017, Ringo has served as Goodwill Ambassador, Trade and Investment, for the Pan-African Parliament and is also a board member of Ocean Biomedical and UpHealth.
Ringo was featured in Vice President Al Gore’s Academy Award-winning Documentary, An Inconvenient Truth, and has co-authored two books: Diversity and the Future of the U.S. Environmental Movement (published 2007) and The Green Festival Reader (published 2008).
Dr. Mariya Pylypiv

Dr. Mariya Pylypiv is an accomplished executive, thought leader and strategist with demonstrated success across healthcare, technological services and financial services. She has deep experience in raising capital and corporate development. Pylypiv has served as VP, Investment Banking and Corporate Development for a nationwide professional services firm and developed global equity strategies for a quantitative machine learning hedge fund (AUM $350 million peak assets). Pylypiv received her Ph.D. from Purdue University with a focus on behavioral finance. She holds a master’s degree in accounting and international economics from Ternopil Academy of National Economy, a bachelor’s degree in accounting and international economics from Ternopil Academy of National Economy, and serves on several advisory boards for digital health, wellness and investment markets.

Moshe Bar-Siman-Tov has vast experience in directing large-scale public and governmental systems and in leading strategic processes on the national level. He is deeply familiar with all aspects relevant to finance, healthcare and regulatory systems. Bar Siman-Tov has led strategic and structural changes, as well as organizational innovation and digital transformation of the healthcare system in Israel.
From July 2015 until June 2020, Bar-Siman-Tov served as the Director General of the Israeli Ministry of Health. He was responsible for the national, professional and medical response during the first phase of the COVID-19 pandemic, spearheading the implementation of national policies, leading the professional ministry team, in coordination with and supervising preparation of the hospitals, laboratories, research centers and all other relevant bodies. In addition, Bar-Siman-Tov addressed the Israeli media and public alongside the Prime Minister to convey and explain governmental policy.
As the Director General, he held direct responsibility for a budget of 60 billion NIS per year (18 billion USD), alongside indirect responsibility of an additional 40 billion NIS per year (11.5 billion USD). He was also responsible for 3,600 employees of the Ministry, over 40,000 employees of the various public hospitals, as well as indirect responsibility for an additional 100,000 healthcare employees.
Among other endeavors, Bar-Siman-Tov was in charge of preparing and promoting a strategic long-term plan for the Ministry of Health, to face the future challenges of the next decade of national health systems. He promoted innovation of the health system, while heading up an intergovernmental plan of digitalization, in coordination with other agencies, as a growth engine for the economy.
He is an economist, holding a master’s degree from the Hebrew University of Jerusalem in economics and business administration and spent 11 years in the Ministry of Finance. Prior to his position at the Ministry of Health, he served as the Economic Minister at the Israeli embassy in Washington D.C.

Nathan Locke is a Managing Partner and Co-Head of Kayne Anderson Capital Advisors’ growth equity activities and is also a member of the Kayne Partners Investment Committee. He has spent more than a dozen years at Kayne Anderson identifying and analyzing investment opportunities in technology and tech-enabled service companies and assisting at the board level in helping those companies as they scale post investment. He has been involved with companies at various stages of growth in healthcare technology and telemedicine, media and telecom, security and compliance and supply chain and logistics. Locke has played a leading role in building a highly experienced and diverse team of 17 professionals with over 50% being females or minorities. Together, this team has invested in over 40 companies. In 2021, the Los Angeles Business Journal listed Locke as a Leader of Influence in the private equity space.
Prior to joining Kayne Anderson in 2008, Locke worked as a senior analyst on the finance team of Romney for President, Inc., and as the controller for The Commonwealth Political Action Committees. He earned a bachelor’s degree in finance from the University of Utah, where he graduated magna cum laude from the David Eccles School of Business.
